Please read these Terms of Service carefully before using the Sokofy Platform. By accessing or using our website, mobile applications, or any related services, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Buyer", "Seller", or "you") and Sokofy Limited ("Sokofy", "we", "us", or "our"), governing your access to and use of the Sokofy Platform, including our website, mobile applications, and all related services (collectively, the "Platform").

By creating an account, placing an order, listing a product, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2 Definitions

ListingA product entry created by a Seller on the Platform, including description, price, and available stock.
Service FeeA fee charged by Sokofy for facilitating transactions on the Platform.
Delivery FeeA charge applied to an Order to cover the cost of delivering products to the Buyer's address.
ContentAny text, images, reviews, ratings, or other material submitted to the Platform by Users.

3 Eligibility

To use the Sokofy Platform, you must be at least 18 years of age. By using the Platform, you represent and warrant that you meet this age requirement. Users under 18 may browse the Platform but may not register an account, place orders, or list products without the direct supervision and consent of a parent or legal guardian who accepts these Terms on their behalf.

To register as a Seller, you must additionally be a resident of Tanzania, hold a valid national identification document, and operate a legitimate business selling fresh produce or related goods. Sokofy reserves the right to verify your eligibility and to refuse or revoke access to any person who does not meet these requirements.

4 Account Registration

To access most features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify Sokofy immediately at support@sokofy.africa if you suspect any unauthorised use of your account or any security breach. Sokofy will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

You may not create more than one account per person or entity, transfer your account to another person, or use another person's account without their explicit permission. Sokofy reserves the right to suspend or terminate accounts that violate these requirements.

5 Buyer Terms

As a Buyer, you may browse product listings, add items to your cart, and place orders for delivery to your specified address. By placing an order, you are making a binding offer to purchase the listed products at the stated price, subject to availability and Seller confirmation.

You are responsible for providing an accurate delivery address and ensuring that someone is available to receive the delivery. Sokofy and Sellers are not responsible for failed deliveries resulting from incorrect address information or the absence of a recipient at the delivery location.

You agree to use the Platform only for lawful purposes and to purchase products for personal or household use. Resale of products purchased through the Platform without Sokofy's prior written consent is not permitted.

Product images and descriptions are provided by Sellers and are intended to be representative. Actual products may vary slightly in appearance, size, or weight due to the natural variability of fresh produce. Sokofy does not guarantee that product descriptions are accurate, complete, or current.

6 Seller Terms

To become a Seller on the Platform, you must complete the seller registration process, provide accurate business and identity information, and receive approval from Sokofy. Sokofy reserves the right to approve or reject any seller application at its sole discretion.

As a Seller, you are solely responsible for the accuracy of your product listings, including descriptions, prices, images, and stock levels. You must update your listings promptly to reflect current availability. Listing products you do not have in stock, or products that do not match the listing description, is a violation of these Terms.

You agree to fulfil all confirmed orders promptly and to the standard described in your listing. You must notify Buyers and Sokofy immediately if you are unable to fulfil an order. Repeated failure to fulfil orders may result in suspension or termination of your seller account.

Sellers may only list products that are legal to sell in Tanzania, are safe for human consumption, and comply with all applicable food safety and labelling regulations. Sokofy reserves the right to remove any listing that violates these requirements without prior notice.

Sokofy charges a service fee on each completed transaction. The current fee schedule is available in your Seller Dashboard and may be updated from time to time with reasonable notice. Payment of the service fee is a condition of using the Platform as a Seller.

7 Orders & Payments

All prices on the Platform are displayed in Tanzanian Shillings (TSh) and are inclusive of any applicable taxes unless otherwise stated. Delivery fees and service charges are displayed separately at checkout before you confirm your order.

Payments are processed through our third-party payment gateway partners. Sokofy accepts payment via M-Pesa, Mixx by Yas, Airtel Money, debit cards, and credit cards, subject to availability. By submitting a payment, you authorise Sokofy and its payment partners to charge the specified amount to your chosen payment method.

An order is confirmed only upon successful payment authorisation and Seller acceptance. Sokofy will send you a confirmation notification once your order is confirmed. In the event that a Seller cannot fulfil your order after payment, you will receive a full refund to your original payment method within five (5) to ten (10) business days, depending on your payment provider.

⚠️ Important: Payment Security Sokofy will never ask you to share your mobile money PIN, card PIN, or OTP with any Sokofy representative. If anyone claiming to be from Sokofy asks for this information, please report it immediately to security@sokofy.africa.

Seller payouts are processed after successful order delivery and the expiry of the buyer dispute window (48 hours after delivery). Payouts are made to the mobile money account or bank account registered in the Seller's profile. Sokofy is not responsible for delays caused by payment providers or banking institutions.

8 Delivery & Fulfilment

Sokofy offers two delivery options: Standard Delivery (estimated 2–3 hours) and Express Delivery (estimated 30–60 minutes), subject to availability in your area. Delivery times are estimates and may vary due to traffic, weather, high order volumes, or other factors beyond our control.

Delivery is currently available within designated service areas in Tanzania. You can verify whether delivery is available to your address during the checkout process. Sokofy reserves the right to modify delivery zones and fees at any time.

Risk of loss and title for products purchased on the Platform passes to the Buyer upon delivery to the specified address. If you are not present at the time of delivery, our delivery partner may leave the order in a safe location or attempt redelivery. Sokofy is not responsible for products that are lost, stolen, or damaged after delivery has been completed.

Fresh produce is perishable. We strongly recommend that you inspect your order upon delivery and report any quality issues within 24 hours of receipt. Claims made after this window may not be eligible for refund or replacement.

9 Cancellations & Refunds

Buyers may cancel an order within five (5) minutes of placing it, provided the Seller has not yet confirmed the order. Once an order is confirmed and being prepared, cancellations are not permitted except in cases of Seller non-fulfilment or significant product quality issues.

Refunds are available in the following circumstances:

To request a refund, contact Sokofy support via the app or at support@sokofy.africa within 24 hours of the issue occurring. Refunds are returned to the original payment method used for the purchase.

10 Prohibited Conduct

You agree not to engage in any of the following activities when using the Platform. Violation of these prohibitions may result in immediate suspension or permanent termination of your account, and may expose you to civil or criminal liability under Tanzanian law.

Listing or selling products that are illegal, counterfeit, unsafe, or prohibited under Tanzanian law
Manipulating prices, reviews, or ratings through artificial means
Circumventing the Platform to conduct transactions directly with other Users to avoid service fees
Harassing, threatening, or abusing other Users, Sellers, or Sokofy staff
Attempting to gain unauthorised access to any part of the Platform or other Users' accounts
Uploading or transmitting viruses, malware, or any other harmful code
Scraping, crawling, or otherwise extracting data from the Platform without written permission
Using the Platform for money laundering, fraud, or any other financial crime
Creating multiple accounts to circumvent bans, restrictions, or verification requirements

11 Intellectual Property

The Sokofy Platform, including its name, logo, design, software, text, graphics, and all other content created by Sokofy, is the exclusive intellectual property of Sokofy Limited and is protected by Tanzanian and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any Sokofy content without our prior written consent.

By submitting Content to the Platform (such as product photos, descriptions, or reviews), you grant Sokofy a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute that Content in connection with operating and promoting the Platform. You represent that you own or have the necessary rights to grant this licence and that your Content does not infringe the intellectual property rights of any third party.

Sokofy respects intellectual property rights and expects Users to do the same. If you believe that any Content on the Platform infringes your intellectual property rights, please contact us at legal@sokofy.africa with the details of your claim.

12 Disclaimers & Limitation of Liability

The Sokofy Platform is provided on an "as is" and "as available" basis. While we strive to maintain a reliable and high-quality service, Sokofy makes no warranties, express or implied, regarding the Platform's availability, accuracy, completeness, or fitness for a particular purpose.

Sokofy acts as a marketplace facilitator and is not the seller of any products listed on the Platform. Sellers are independent third parties and are solely responsible for the quality, safety, and accuracy of their product listings. Sokofy does not endorse any Seller or product and is not liable for any loss or damage arising from products purchased through the Platform.

To the maximum extent permitted by Tanzanian law, Sokofy's total liability to you for any claim arising from your use of the Platform shall not exceed the amount you paid for the specific order giving rise to the claim. Sokofy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits Sokofy's liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable Tanzanian law.

13 Dispute Resolution

If you have a dispute with Sokofy or another User arising from your use of the Platform, we encourage you to first contact Sokofy's customer support team at support@sokofy.africa. We will make reasonable efforts to resolve disputes informally within fifteen (15) business days of receiving your complaint.

If a dispute cannot be resolved informally, both parties agree to attempt resolution through mediation before initiating formal legal proceedings. The mediator shall be mutually agreed upon by both parties. The costs of mediation shall be shared equally unless otherwise agreed.

If mediation fails, disputes shall be resolved through the courts of the United Republic of Tanzania, in accordance with the laws of Tanzania. You agree to submit to the exclusive jurisdiction of the Tanzanian courts for the resolution of any dispute arising from these Terms or your use of the Platform.

14 Termination

You may close your account at any time by contacting Sokofy support or using the account deletion feature in the app. Upon account closure, your access to the Platform will be terminated and your personal data will be handled in accordance with our Privacy Policy.

Sokofy reserves the right to suspend or permanently terminate your account, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent or illegal activity, posed a risk to other Users or the Platform, or for any other reason at our sole discretion. In cases of serious violations, Sokofy may also report your conduct to relevant Tanzanian authorities.

Upon termination, all licences granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) shall continue to apply.

15 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United Republic of Tanzania, including but not limited to the Electronic and Postal Communications Act (EPOCA), the Fair Competition Act, the Consumer Protection Act, and any other applicable Tanzanian legislation. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tanzania.

If any provision of these Terms is found to be invalid, illegal, or unenforceable under Tanzanian law, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

16 Changes to These Terms

Sokofy reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify registered Users via email or in-app notification at least fourteen (14) days before the changes take effect. For minor changes (such as corrections of typographical errors or clarifications that do not affect your rights), we may update the Terms without prior notice.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Platform and may close your account before the changes take effect.
